Terms of Service

Welcome to nearr.ai ("Service"). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use nearr.ai.

2. Account & Security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

3. Acceptable Use

You agree not to misuse the Service, including but not limited to: impersonating others, harassing users, distributing malware, or attempting to gain unauthorized access to systems.

4. Intellectual Property & User Content

All content, trademarks, and technology on the Service are owned by nearr.ai or its licensors. You retain ownership of content you submit. By using the Service, you grant nearr.ai a non-exclusive, royalty-free license to use your submitted content solely for the purpose of operating and displaying the Service (e.g., showing your messages within a chat interface).

AI training: Your conversation data may be used to train and improve the AI twin you are interacting with. This is a separate, specific use from general Service operation. By sending messages through the Service, you explicitly consent to those messages being used to fine-tune the personality model of the creator whose AI twin you are chatting with. You may withdraw this consent at any time by contacting hi@nearr.ai; withdrawal will not affect the lawfulness of processing prior to withdrawal.

5. AI Interactions & Disclosure

The Service uses artificial intelligence to generate responses. By using nearr.ai, you acknowledge and agree to the following:

• You are communicating with an AI system, not directly with the real creator. The creator is not on the other end of the conversation.
• The AI twin's personality is based on publicly available content and information provided by the creator, but the creator does not control the AI's responses in real time and may not review or approve individual messages.
• The creator does not have access to your individual conversation content unless the platform surfaces aggregated or anonymized insights (such as topic summaries or compatibility scores) to help them select fans for video calls.
• AI outputs are not guaranteed to be accurate, complete, or appropriate. AI conversations do not constitute professional advice of any kind.

6. Payments, Subscriptions & Refunds

Paid features are billed monthly through Stripe. Your subscription renews automatically until cancelled. You may cancel at any time from your account page; cancellation takes effect at the end of the current billing period.

Refund policy: If you cancel within 48 hours of your initial subscription and have exchanged fewer than 10 messages, you may request a full refund by emailing hi@nearr.ai. After that window, subscriptions are non-refundable for the current billing period. We may change pricing with 30 days' notice.

7. Termination

Fans: We may suspend or terminate your access at any time for violation of these Terms. You may delete your account at any time by contacting us.

Creators: Creator accounts are subject to the additional terms in the Creator Agreement (Section 12 below). If we terminate a creator account for reasons other than a Terms violation, we will provide 30 days' written notice. During that period, the creator will continue to receive their revenue share. Accrued but unpaid earnings will be paid out within 30 days of termination.

8. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied.

9. Limitation of Liability

To the fullest extent permitted by law, nearr.ai shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount you paid to nearr.ai in the 12 months preceding the claim.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted in English. You agree to resolve disputes on an individual basis and waive any right to participate in a class action or class-wide arbitration.

If you are a consumer in the European Union, this section does not override any mandatory consumer protection rights under your local law, including your right to bring claims in your local courts.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 14 days before they take effect via email or an in-app notice. Continued use after changes constitutes acceptance.

12. Creator Agreement (Additional Terms for Creators)

If you register as a creator on nearr.ai, the following additional terms apply:

• Digital replica consent: By connecting your social accounts and completing creator onboarding, you grant nearr.ai explicit consent to create and operate an AI-generated digital replica ("AI twin") based on your publicly available content, likeness, and communication style. You may revoke this consent at any time by contacting us; revocation will result in your AI twin being taken offline within 7 days.
• Revenue share: You will receive your agreed revenue share of net subscription fees from fans subscribed to your AI twin, paid monthly via Stripe Connect.
• Video calls: Participation in video calls with fans is voluntary. You are never obligated to accept a call.
• Content responsibility: You acknowledge that your AI twin may generate responses you did not write. nearr.ai implements safety filters, but you agree to report any outputs that misrepresent you. You are not liable for AI-generated content.
• Termination by creator: You may terminate your creator account at any time with 14 days' notice. Active fan subscriptions will not renew after your AI twin goes offline. Accrued earnings will be paid within 30 days.
